ACCUREV, INC. LICENSE AGREEMENT THIS IS A LEGAL AGREEMENT BETWEEN YOU (EITHER AN INDIVIDUAL OR AN ENTITY), THE END USER, AND ACCUREV, INC. ("ACCUREV"). BY USING THE SOFTWARE OR SCRIPTS ACCOMPANYING THIS AGREEMENT (THE 'SOFTWARE'), YOU ARE AGREEING THAT YOU HAVE READ AND UNDERSTAND THIS AGREEMENT AND WILL BE BOUND BY ITS TERMS AND CONDITIONS. LICENSE. Subject to all of the terms and conditions of this Agreement, AccuRev grants to you a non- exclusive license to use the version of the Software solely for your internal diagnostic purposes and to transfer copies of the Software to others solely for their internal diagnostic purposes, provided all copies of the Software that you transfer to others is accompanied by a copy of this Agreement. The license will terminate immediately without notice from AccuRev if you fail to comply with any provision of this Agreement. Upon any termination of the license you must destroy all copies of the Software that you possess. INTELLECTUAL PROPERTY. The copyright, trade secrets and all other intellectual property rights in the Software are owned by AccuRev or its suppliers and are protected by the copyright and other laws of the United States and other countries and by international treaty provisions. OTHER RESTRICTIONS. AccuRev reserves all rights in the Software not expressly granted in this Agreement. Without limiting the preceding sentence, you may not modify, adapt, decompile, disassemble, or otherwise reverse engineer the Software. DISCLAIMER OF WARRANTIES. THE SOFTWARE IS PROVIDED 'AS IS' WITHOUT WARRANTY OF ANY KIND. THE ENTIRE RISK ARISING OUT OF THE USE OR PERFORMANCE OF THE SOFTWARE REMAINS WITH YOU. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ACCUREV DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT, OR ARISING FROM A COURSE OF DEALING, USAGE OR TRADE PRACTICE. Some jurisdictions do not allow the exclusion or limitation of implied warranties, so these limitations may not apply to you. Any implied software warranties which may exist despite the disclaimer herein will be limited to ten (10) days. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACCUREV WILL HAVE NO LIABILITY FOR ANY DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION DIRECT, CONSEQUENTIAL, INCIDENTAL, INDIRECT OR SPECIAL DAMAGES (INCLUDING WITHOUT LIMITATION DAMAGES OR COSTS FOR LOSS OF PROFITS, BUSINESS, GOODWILL, DATA OR OTHER ASSETS, OR COMPUTER PROGRAMS) WHETHER FORESEEABLE OR UNFORESEEABLE, REGARDLESS OF THE BASIS OF THE CLAIM, EVEN IF ACCUREV HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Any liability for damages which may exist despite the disclaimer herein will be limited to one hundred dollars ($100) in the aggregate. LICENSES TO U.S. GOVERNMENT. This paragraph applies to all acquisitions of licenses to use the Software by or for the U.S. government, or by any prime contractor or subcontractor (at any tier) under any contract, grant, cooperative agreement or other activity with the federal government (collectively, the 'Government'). The Software and any accompanying documentation are, respectively, 'commercial computer software' and 'commercial computer software documentation,' as defined in 48 C.F.R. 12.212 (Sept. 1995), and the Government will have only the rights to use the Software set forth in these terms and conditions, which will supersede all other contractual terms or conditions. If the license granted by these terms and conditions fails to meet the Government's needs or is inconsistent in any respect with Federal law, the Government must return the Software unused to AccuRev. Contractor/Manufacturer is AccuRev, Inc., 10 Maguire Road, Lexington, Massachusetts 02421 USA. GENERAL. The export of the Software from the United States and re-export from any other country is governed by the U.S. Department of Commerce under the export control laws and regulations of the United States and by any applicable law of such other country, and the Software may not be exported or re- exported in violation of any such laws or regulations. This Agreement is the complete and exclusive statement of the agreement between you and AccuRev and supersedes any proposal or prior agreement, oral or written, and any other communications relating to the subject matter of this Agreement. This Agreement may not be modified except by written amendment issued by a duly authorized representative of AccuRev. No provision of this Agreement will be deemed waived unless such waiver is in writing and signed by a duly authorized representative of AccuRev. If any provision of this Agreement will be held by a court of competent jurisdiction to be contrary to law, that provision will be enforced to the maximum extent permissible, and the remaining provisions of this Agreement will remain in full force and effect. This Agreement will be governed by and interpreted under the laws of the Commonwealth of Massachusetts, United States of America, without regard to conflicts of law provisions. The application of the United Nations Convention of Contracts for the Sale of Goods is expressly excluded. Each party irrevocably agrees that any action or proceeding arising from or relating to this Agreement may be brought only in the courts of Massachusetts or the U.S. District Court located in Boston, Massachusetts, consents, for itself and in respect of its property, to the jurisdiction of each such court in any such action or proceeding, and waives any objection to proceeding in such venue, including that the forum is inconvenient.
